Job description :
Responsibilities:
* Conducting research into relevant laws and regulations and providing advice on issues arising from marine insurance, maritime laws, cruise operations, shore insurance, labour law, directors’ and officers’ liability and statutory requirements;
* Ensuring legal and regulatory compliance and implementing internal compliance policies.
* Handling due diligence for the company’s projects and legal documentation relating to cross-border M&A transactions.
* Advising on and participating in dispute resolution and processes and managing litigious issues. Initiating and defending corporate litigations in various geographies, overseeing the litigation process, and liaising with and instructing external lawyers, where appropriate.
* Planning and supervising the engagement of local and international legal advisors. This includes briefing legal advisors on legal issues, acting as a liaison between Company and legal advisors and working with advisors to identify satisfactory solutions to legal issues in the Company. Reviews invoices for professional fees for external legal services.
* Negotiation, drafting, reviewing and finalizing of legal documents which includes commercial and operational contracts, tender documents, collaborations, license and agency agreements, loan & security agreements. JV and shareholder agreements, sales and purchase agreements etc.
* Provide a full spectrum of legal support to the Company’s business on all corporate and commercial matters and ensuring compliance in line with corporate policies.
* Maintains awareness of new compliance regulations and advises management on how they impact the organization and current practices.
* Provide general legal support for the Company including advising business units of compliance issues
* Carries out supervisory duties at the level established by management for the position.
* Managers, protects and overall risk management of the company’s intellectual property portfolio.
* Administers all insurance renewal matters, coordinating passengers’ claims, controlling the administration of insurance records and related documents
* Manages and plans the routine operational activities of the legal department

Qualifications :
Requirements:
* Posses a Bachelor’s Degree/Professional qualification in LL.B from a reputable university or its equivalent.
* At least 5 years post graduate experience in dealing with Government Authorities in Singapore and KL
* Wide knowledge in taxation and its compliance is essential.
* Proficiency in spoken and written English and Chinese (Mandarin).
* Must be computer literate.
* Responsible, analytical, independent and able to work under pressure.
* Must be willing to travel on overseas assignments as and when required
